Terms of Use

1. Acceptance of Terms

By accessing or using the Vibe Studio Unlimited service operated by Vibe Studio Unlimited LLC ("we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use our services.

2. Description of Service

Vibe Studio Unlimited is a subscription-based web development service. For a flat monthly fee, subscribers may submit unlimited development requests which are fulfilled by our team according to the plan tier selected (Starter, Pro, or Agency).

3. Subscription & Billing

• Subscriptions are billed on a recurring 31-day cycle from the date of activation.
• All fees are non-refundable except as described in our 7-day guarantee (Section 5).
• You may pause your subscription at any time. Unused days are banked and resume when you reactivate.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle.
• We reserve the right to change pricing with 30 days' notice. Founding member pricing is locked in for the duration of your continuous subscription.

4. How It Works

• Submit requests via your dedicated Slack channel, project board, or other agreed-upon communication method.
• Requests are handled sequentially based on your plan's active project limit (1 for Starter, 2 for Pro).
• Delivery timelines are estimates, not guarantees. Average delivery is 48–72 hours for Starter and 24–48 hours for Pro. All delivery estimates are based on business days (Monday–Friday). Weekend deliveries may occur but are not guaranteed.
• Revisions are unlimited. Same-day revisions are available on the Agency plan.

5. 7-Day Guarantee

If you are not satisfied with the service within the first 7 days, you may request a 75% refund of your first month's payment. To qualify, you must submit at least one request during the 7-day period. Refund requests must be made in writing to hello@buildwithvibe.co.

6. No Refunds on Completed Work

Once any work has been delivered during a billing cycle, that cycle's payment is final and non-refundable. This includes — but is not limited to — landing pages, website builds, design deliverables, code, revisions, bug fixes, copy, email templates, funnel setups, and any other output produced by our team on your behalf.

• Each billing cycle runs for 31 days from activation (or reactivation). If we deliver any work product during that cycle, the full cycle fee is earned and non-refundable.
• Partial refunds, prorated refunds, and chargebacks for cycles in which work was delivered are not available. By subscribing, you acknowledge that completed work constitutes full value received for the billing period.
• If you cancel mid-cycle after receiving deliverables, your subscription will remain active until the end of the current 31-day period. You may continue to submit requests during this time.
• The 7-day guarantee described in Section 5 is the sole exception to this policy and applies only to first-time subscribers within 7 days of their initial subscription.

We encourage all subscribers to review deliverables promptly and communicate any concerns before requesting additional work. Our goal is your satisfaction — but once work is done, it's done.

7. Intellectual Property & Ownership

• Your Content: You retain all rights to materials you provide (logos, copy, brand assets, images).
• Deliverables: Upon full payment, you own all source code, designs, and assets produced by us for your projects. We retain no rights to deliverables.
• Portfolio & Marketing Rights: By using our services, you grant Vibe Studio Unlimited a perpetual, non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute screenshots, descriptions, and representations of completed work across our portfolio, website, social media channels, case studies, advertising, marketing materials, and promotional content. This includes the right to identify you as a client. If you wish to opt out, you must submit a written request to hello@buildwithvibe.co, and we will remove your work from future marketing within 30 business days. Work already published prior to your opt-out request may remain in circulation in previously distributed materials.
• Our Platform: The Vibe Studio Unlimited website, brand, and proprietary tools remain our intellectual property.

8. Acceptable Use

You agree not to use our services to:

• Create content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Infringe on any third party's intellectual property rights
• Distribute malware, spam, or engage in phishing
• Resell our services without written authorization (white-label builds are available on the Agency plan)

9. Limitation of Liability

To the maximum extent permitted by law, Vibe Studio Unlimited LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from the service shall not exceed the amount you paid in the 3 months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

We reserve the right to suspend or terminate your access to the service at any time for violation of these terms or for any reason at our sole discretion, with or without notice. Upon termination, your right to use the service ceases immediately. Deliverables already completed and paid for remain yours.

12. Billing

By subscribing, you authorize recurring charges to your payment method on file. Charges appear on your statement as "VIBE STUDIO UNLIMITED" or "VIBEUNLIMITED". If you see a charge you don't recognize, please contact us at hello@buildwithvibe.co and we'll sort it out. Full refund and cancellation terms are outlined in our Refund Policy.

13. Dispute Resolution

Any dispute arising from or relating to these terms or the service shall be resolved as follows:

1. Direct Resolution: Contact us in writing. We will respond within 2 business days and work in good faith to resolve the matter.
2. Mediation: If direct resolution fails within 14 days, either party may request non-binding mediation administered by a mutually agreed-upon mediator in Ontario, Canada.
3. Binding Arbitration:If mediation fails, the dispute shall be resolved by binding arbitration under the Arbitration Act of Ontario. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis, not as a class action or representative proceeding.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

15. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of the service after changes constitutes acceptance of the updated terms.
